1. Acceptance of the Terms of Use

These terms of use constitute a legal agreement entered into by and between you (“User”, “you”, “your”) and Musaffa LLC (“Musaffa,” “we,” or “us”). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these “Terms of Use”), govern your access to and use of musaffa.com (the “Website”), Musaffa Academy (“Academy” ), the Musaffa Web User Platform (“Platform”), the Musaffa Mobile User Application (“Application”), Musaffa Community (“Community”), and any other media form, media channel, mobile website, or mobile application, present or future, related, linked, or otherwise connected thereto, including all content, functionality, and non-advisory services offered on or through the foregoing for purposes of Islamic finance education, Shariah compliance research, and securities screening (collectively, the “Service”).
The Service governed by these Terms of Use is limited to Musaffa's educational, research, and Shariah compliance screening features and does not include: (i) discretionary portfolio management services (“Managed Portfolios”); or (ii) self-directed investment recommendation advisory services (“Recommendation Advisory Services”) (collectively, the “Advisory Services”).
These Terms of Use are binding on all subscribers, customers, prospective customers, our customers’ customers (both direct and indirect), partners, agents, visitors, and users of the Service.

Please read the Terms of Use carefully before you start to use the Service.
BY USING THE SERVICE OR BY CLICKING TO ACCEPT OR AGREE TO THE TERMS OF USE WHEN THIS OPTION IS MADE AVAILABLE TO YOU, YOU ACCEPT AND AGREE TO BE BOUND AND ABIDE BY THESE TERMS OF USE AND OUR PRIVACY POLICY, FOUND AT PRIVACY POLICY, INCORPORATED HEREIN BY REFERENCE.

By using our Service, you represent and warrant that you are the legal age of majority under applicable law (generally the age of 18 or older) to form a binding contract with Musaffa and meet the eligibility requirements. If you are under the legal age of majority under applicable law, you represent to Musaffa that you have obtained a parent/guardian’s consent and that your parent/guardian has reviewed and agreed to these Terms of Use prior to using the Service. If you are an employee of a company or other entity or are acting on behalf of a company or entity, you must be authorized to accept these Terms of Use on behalf of that employer, company or entity. If you do not meet these requirements, you must not access or use our Service.

2. Changes to the Terms of Use

We reserve the right in our sole discretion to revise and update these Terms of Use from time to time. All changes are effective immediately when we post them, and apply to all access to and use of the Service thereafter. However, any changes to the dispute resolution provisions set out in Section 23 will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Website, Platform or Application.

Your continued use of the Service following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page frequently or each time you access the Service so you are aware of any changes, as they are binding on you.

If you do not agree to the changes, you shall be entitled, upon receiving notice of any such changes to the Terms of Use, to immediately cease using the Service and/or close your Account by notifying Musaffa in writing but without prejudice to your liability for any indebtedness on any Account or any other obligation, financial, legal or otherwise that has arisen prior to the closure of your Account.

3. Privacy

We care about data privacy and security. By submitting your data and using our Service, you consent to the collection, use, reproduction, hosting, transmission, and disclosure of any such user content submissions in compliance with our Privacy Policy, found at PRIVACY POLICY.

By using the Service, you are consenting to the use of cookies which allow a server to recall previous requests or registration and/or IP addresses to analyze website use patterns. You can set your browser to notify you before you receive a cookie, giving you the chance to decide whether to accept it. You can also set your browser to turn off cookies. If you do, however, some areas of the Website, Community or Platform may not function adequately. 4. The Services Provided by Us

4.1 Musaffa Service Options

We provide numerous Service options. Certain Musaffa Service options are provided free-of-charge (“Starter”), while other options require payment before they can be accessed (the “Premium Subscriptions”). We may also offer special promotional plans, memberships, or services, including offerings of third-party products and services. We are not responsible for the products and services provided by such third parties.

The Premium Subscriptions may not be available to all users. We will explain which Services are available to you when you are signing up for the Service. If you cancel your subscription to the Premium Subscriptions, or if your subscription to the Premium Subscriptions is interrupted (for example, if you change your payment details), you may not be able to re-subscribe for the Premium Subscriptions. Note that the Premium Subscriptions may be discontinued in the future, in which case you will no longer be charged for the Service.

4.2 Trials

From time to time, we or others on our behalf may offer trials of Premium Subscriptions for a specified period without payment or at a reduced rate (a “Trial”). The duration of any Trial shall be as specified on the Website, Platform or Application. By using the Service via a Trial, you agree to these Terms of Use.

At the end of the Trial, we will bill you for any upgrade for Premium Subscriptions on then-current Service Rates. You may only have one Trial. Should we identify that you have already made use of a subsidized free Trial of the Service, you will immediately be billed for the used Service per then-current Service Rates.

4.3 Service Limitations and Modifications

We use reasonable care and skill to keep the Service operational and to provide you with a stock screening experience. However, our service offerings and their availability may change from time to time and subject to applicable laws, without liability to you; for example:

The Service may experience temporary interruptions due to technical difficulties, maintenance or testing, or updates, including those required to reflect changes in relevant laws and regulatory requirements.
We aim to evolve and improve our Service constantly, and we may modify, suspend, or stop (permanently or temporarily) providing all of part of the Service (including particular functions, features, subscription options and promotional offerings).
We have no obligation to provide any specific content through the Service. We, in our sole discretion or pursuant to state authority’s requests or court orders, may remove from our Service any stock, ETF or any other securities, and the Content without notice to you.

Musaffa has no liability to you, nor any obligation to provide a refund to you, in connection with internet or other service outages or failures that are caused by the actions of government authorities, other third parties or events beyond our control.

4.4 Beta Access

Some of our Services may be offered in “beta” until we indicate otherwise. From time to time, Mustaffa may also offer you access to certain new features of the Service as a “beta user”. If you use beta features, you acknowledge that these features may not yet have been fully bug-tested and may therefore contain significant errors and issues. You undertake to notify Mustaffa of any bugs you may find, where possible. You also accept that access to these features may be withdrawn at any time, without any notice given, if we decided that these features are to form part of a separate subscription offer.

5. Your Use of the Musaffa Services

5.1 Account Set-Up and Security

To use all or part of the Service, you may need to register for an Account (“Account”). You can do this by filling out the appropriate information on the registration screen on the Website, Platform or Application. Upon registration you will be given an Account. When registering you may supply personal information, including your email address, phone number, financial information, newly created username, One-Time Password (“OTP”) and other security information (“Login Details”). All data you provide to us as a User will be treated in accordance with our Privacy Policy.

You agree that the information supplied on registration will be truthful, accurate and complete. It is your responsibility to inform us of any changes to that information.

In addition to the Service provided under these Terms of Use, your Account provides access to certain platform features relating to the Advisory Services. Your access to, view of, or use of such features prior to opening an account to receive the Advisory Services does not, by itself, constitute the formation of an investment advisory, fiduciary, or other legally binding relationship with respect to the Advisory Services. The Advisory Services are provided by Musaffa in its capacity as a U.S. SEC-registered investment adviser and are governed exclusively by the separate client agreement(s) applicable to such services (each, a "Client Agreement"). In the event of any conflict between these Terms of Use and a Client Agreement arising out of or in connection with the Advisory Services, the Client Agreement shall control.

You are entirely responsible for all activities which occur when using Login Details in relation to your Account, including unauthorized use of your Account or any payment method including debit or credit card. You must not disclose your Login Details, whether directly or indirectly, to any third party. You must exercise caution when accessing your Account from a public or shared computer so that others are not able to view or record your Login Details or other personal information. It is your responsibility to safeguard your Login Details. You also agree to ensure that you logout from your Account at the end of each session. You must notify us immediately using the contact details found at Section 30 below if you become aware of any unauthorized use of your Login Details, if your Login Details are lost or stolen or any other breach of security.

Login Details may only be used by a single user and are not transferable. Please note that your Login Details may be used both on the Website, Platform and Application. You also acknowledge that your Account is personal to you and agree not to provide any other person with Access to the Service or portions of it using your Login Details.

The security of your personal information is very important to us. We use physical, electronic, and administrative measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration, and disclosure.

The safety and security of your information also depends on you. Users are responsible for obtaining their own access to the Website, Platform or Application. Users are required to ensure that all persons who access the Website, Platform or Application through a User's internet connection are aware of these Terms of Use and comply with them.

Your provision of Login Details, registration information, personal information and any submissions you make to the Service through any functionality such as applications, chat rooms, e-mail, message boards, Community pages, profiles, forums, bulletin boards and other such features (collectively, “Interactive Features”) constitutes your consent to all actions we take with respect to such information consistent with our Privacy Policy, found at PRIVACY POLICY.

We reserve the right at any time and from time to time, may reclaim, or require you to change, to disable or terminate your Account, any username, password, or other identifier, whether chosen by you or provided by us, in our sole discretion for violation of any provision of these Terms of Use or violation of applicable laws.

You are prohibited from attempting to circumvent and from violating the security of the Service, including, without limitation: (a) accessing content and data that is not intended for you; (b) attempting to breach or breaching the security and/or authentication measures which are not authorized; (c) restricting, disrupting or disabling service to users, hosts, servers, or networks; (d) illicitly reproducing IP packet header; (e) disrupting the Musaffa’s ability to monitor the Service; (f) using any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service; (g) introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful; (h) attacking the Service via a denial-of-service attack, distributed denial-of-service attack, flooding, mailbombing, or crashing; and (i) otherwise attempting to interfere with the proper working of the Service (collectively, “Security Restrictions”).

5.2 Billing

You may purchase a Premium Subscription directly from Musaffa or through a third party either by:

paying a subscription fee in advance on a monthly basis or some other recurring interval disclosed to you prior to your purchase; or
pre-payment giving you access to the Service for a specific time period (“Pre-Paid Period”).

If you purchase access to a Premium Subscription through a third party, separate terms and conditions with such third party may apply to your use of the Service in addition to these Terms of Use. If you purchase a Premium Subscription using a coupon, code, gift card, pre-paid offer, or other offer provided or sold by or on behalf of Musaffa for access to a Premium Subscription (“Coupon”), you hereby agree to these Terms of Use.

5.3 Payment Methods

We may accept the following methods of payment:

PayPal
Cryptocurrency

You agree to provide current, complete, and accurate purchase and Account information for all purchases made via the Service. You further agree to promptly update Account and payment information, including email address, payment method, valid billing address, valid issuing bank or other payment service providers, and payment card expiration date, so that we can complete your transactions and contact you as needed. We bill you through an online billing account for purchases made via the Service. Sales Tax will be added to the Service Rates of purchases as deemed required by us. All payments shall be in U.S. dollars.

You agree to pay all charges or subscription fees at the Service Rates then in effect for your purchases, and you authorize us to charge your chosen payment provider for any such amounts upon making your purchase. If your purchase is subject to recurring charges, then you consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until you notify us of your cancellation.

We reserve the right to correct any errors or mistakes in charges, even if we have already requested or received payment. We also reserve the right to refuse any order placed through the Service.

5.4 Service Rate and Tax rate changes

Musaffa may from time to time change the rate for the Premium Subscriptions, including recurring subscription fees, the Pre-Paid Period (for periods not yet paid), or Coupon (defined above) (“Service Rate”), and will communicate any Service Rate changes to you in advance on reasonable notice. Service Rate changes will take effect at the start of the next subscription period following the date of the Service Rate change. Subject to applicable law, by continuing to use the Service after the Service Rate change takes effect, you will have accepted the new Service Rate. If you do not agree to a Service Rate change, you can reject the change by unsubscribing from the applicable Premium Subscription prior to the Service Rate change going into effect.

Tax rates are based on the Services Rates applicable at the time of your monthly charge. These amounts can change over time with local tax requirements in your country, state, territory or even city. Any change in Tax rate will be automatically applied based on the Account information you provide.

5.5 Renewal and Cancellation

With the exception of Premium Subscriptions for a Pre-Paid Period, your payment to Musaffa or the third party through which you purchased the Premium Subscription will automatically renew at the end of the applicable subscription period, unless you cancel your Premium Subscription before the end of the then-current subscription period. Contact our Customer Support team here for instructions on how to cancel. The cancellation will take effect the day after the last day of the current subscription period, and you will be downgraded to the free version of the Service. We do not provide refunds or credits for any partial subscription periods, except as expressly stated in these Terms of Use.

If you have purchased a Premium Subscription using a Coupon, your subscription will automatically terminate at the end of the period stated in the Coupon, or when there is an insufficient pre-paid balance to pay for the Service.

5.6 Corporate Account

If you establish an Account on behalf of a company, corporation, organization, entity, or brand (a “Organization,” and such account a “Corporate Account”), the terms “you” and “your,” as used throughout these Terms of Use (including other terms and conditions incorporated by reference herein), apply to both you and the Organization.

If you create a Corporate Account, you represent and warrant that you are authorized to grant all permissions and licenses provided in these Terms of Use (including any other applicable terms and conditions) and to bind the Organization to these Terms of Use.

Corporate Accounts will have separate Premium Subscription plan that is applicable only for Organizations and will have additional features available that is applicable for organizational use (“Enterprise”)

5.7 Refund Policy

The subscription fees charged for used Service will not be refunded back. Subject to the Musaffa’s sole discretion, on case-by-case basis we may refund back the remaining (unused) balance that was not used for any Service to you credit /debit card recorded on your Account. Any extra bonus periods or Pre-Paid Period provided at the time of purchase of the Premium Subscriptions will be deducted from the unused balance at the time of refund. Your Account and billing information must be up to date in order for us to refund you. Please allow a reasonable time for the refund to be charged back to your card.

5.8 Fraudulent Orders & Use of Stolen Credit Cards

We will not tolerate any fraudulent orders or use of stolen credit cards and will vigorously pursue individual or persons committing such acts. Furthermore, we will initiate and support contact with all local, state, provincial, and federal law enforcement agencies to apprehend, arrest and convict offenders.

5.9 Credit or Debit Card Chargebacks

You agree not to initiate any charge-back with your credit or debit card company without first contacting us first in writing, via email to resolve any dispute that may occur. You acknowledge and understand that you will be responsible for any and all fees or charges levied against Musaffa by our processor or by any credit or debit card company in conjunction with any chargeback incident and you authorize Musaffa to charge those costs to your credit card without recourse. You are hereby notified that any uncollectible fees will be assigned to a licensed collection agency for aggressive collection and reporting to all credit reporting agencies and e-commerce bureaus.

5.10 Withdrawal right

If you sign up for a Trial, you agree that the withdrawal right for the Premium Subscription for which you are receiving a Trial ends seven (7) days after you start the Trial. If you don't cancel the Premium Subscription before the Trial ends, you lose your right of withdrawal and authorize us to automatically charge you the agreed price each month until you cancel the Premium Subscription. For Trials less than seven (7) days, you expressly consent to us providing you with the paid service immediately after the end of your Trial and that from that point you lose your right of withdrawal.

If you purchase a Premium Subscription with no Trial, you agree you have seven (7) days after your purchase to withdraw for any reason and must pay us for the Service provided up until the time you tell us that you have changed your mind. You expressly consent to us providing you with the Service immediately following your purchase, that you lose your right of withdrawal, and authorize Musaffa to charge you automatically each month until you cancel.

5.11 Promotions

From time to time, Musaffa or partner service providers will run promotions on the Service. These promotions will be subject to additional terms and conditions and such terms and conditions (including the closing date for any promotion) will be displayed clearly on the Service. Musaffa is not responsible for promotions run by partner service providers and you must make your own inquiries with the relevant service providers directly before availing of, and relying on, the terms and conditions of any such promotion. You shall avail of any promotion in good faith and not misuse any promotional code provided to you. We reserve the right to restrict these promotional offers to certain users, or place other restrictions or conditions on such offers. We also reserve the right to stop any promotional offer or to prohibit a user from continuing to use the Service if we determine that a user is abusing the terms of the offers. We reserve the right to expire and remove any promotional balance from your Account for non-usage of one year or more, for an abuse or misuse of the offer.

6. Intellectual Property Rights and Ownership

You understand and agree that the Service and its entire Content (defined below), features, and functionality (including but not limited to all information, software, text, displays, images, graphics, photographs, video, and audio, and the design, presentation, selection, and arrangement thereof) are owned by Musaffa, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws (collectively, “IP Rights”).

Content includes, without limitation: (1) general news and information, commentary, research reports, educational material and information and data concerning the financial markets, securities and other subjects; (2) financial and investment, screening interactive tools, such as alerts, warnings, categorization or calculators; (3) account management tools; (4) Trademarks owned by Musaffa, and marks, logos, designs, names owned by Third Party Providers (defined below); and (5) any other information, material, content, media, services, or software (collectively, “Content”). Certain content is furnished by third parties (each, a “Third-Party Provider” and collectively, the ““Third-Party Providers”). Such Content provided by Third-Party Providers (“Third Party Content”) includes, without limitation, any information, content, service or software made available by or through the Website, Academy, Platform, Application, Community, Interactive Features, Third Party Applications, other social media websites, blogs, wikis, online conferences, telecasts, podcasts, and other forums. Third Party Content may be available through framed areas or through hyperlinks to the Third-Party Providers’ websites.

Musaffa’s, its parent’s, affiliates’, subsidiaries’ company names, Musaffa, www.musaffa.com and all related names, logos, product and service names, designs, images, and slogans are trademarks of Musaffa or its affiliates or licensors (collectively, “Trademarks”). You must not use Trademarks without the prior written permission of Musaffa. Third Party Provider’s names, logos, product and service names, designs, images, and slogans mentioned, or which appear on our Service are the trademarks of their respective owners. Use of any Trademarks, except as expressly authorized, shall constitute an infringement or violation of the rights of the property owner and may be a violation of federal or other laws and could subject the infringer to legal action.

Where you send Musaffa any feedback, suggestions, ideas or other materials in relation to your use of the Service or the Content (“Feedback”), you agree that such Feedback is not confidential and Musaffa can use, reproduce, publish, modify, adapt and transmit such Feedback, through any Interactive Features, free of charge and without restriction, subject to Musaffa’s obligations as provided under the Privacy Policy.

7. License to Use the Service

7.1 License Grant

Subject to the terms of this Terms of Use, Musaffa grants you a limited, non-exclusive, revocable, non-sublicensable and nontransferable, license:

access and make personal, non-commercial use of the Service and the Content;
download, install, and use the Application for your personal, non-commercial use on a single mobile device owned or otherwise controlled by you (“Mobile Device”) strictly in accordance with the Terms of Use (collectively, “License”).

This License shall remain in effect unless and until terminated by you or us.

7.2 License Restrictions

You may use the Service only for lawful purposes and in accordance with these Terms of Use. You agree not to:

Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Service (including the Application) and the Content, your Account, or any features or functionality of the Service (including the Application) and the Content, to any third party for any reason, including by making the Service (including the Application) and the Content available on a network where it is capable of being accessed by more than one device at any time;
Copy or adapt the Service (including the Application) and the Content including but not limited to Flash, PHP, HTML, JavaScript, or other software or code, except as expressly permitted by this License;
Modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, of the Service (including the Application) and the Content;
Reverse engineer, disassemble, decompile, decipher, decode, or otherwise attempt to derive or gain access to the source code of the Service (including the Application) and the Content or any part thereof;
Remove, delete, alter, or obscure any Trademarks or any copyright, patent, or other intellectual property or proprietary rights notices from the Service (including the Application) and the Content, including any copy thereof;
Remove, disable, circumvent, interfere, or otherwise create or implement any workaround to any copy protection, rights management, or security features in or protecting the Service (including the Application) and the Content;
Attempt to bypass any measures of the Service (including the Application) designed to prevent or restrict access to the Service (including the Application), or any portion thereof;
Use the Service (including the Application) and the Content: (i) in violation of any applicable federal, provincial, local, or international law including, statutes, rules or regulations (including, without limitation, any laws regarding the export of data or software to and from the US or other countries); or (ii) in connection with any illegal, fraudulent, offensive, violent, immoral or indecent activities; or (iii) in any manner that encourages, promotes, facilitates or instructs others to engage in any illegal, fraudulent, offensive, violent, immoral, or indecent activity;
Use the Service (including the Application) and the Content to advertise or offer to sell goods and services;
Use the Service (including the Application) in any manner that could disable, disrupt, overburden, damage, or impair Service (including the Application) or interfere with any other user's use of the Service (including the Application), including their ability to engage in real time activities through the Service (including the Application);
Use any robot, spider, or other automatic device, any manual process, other processes, or means to access the Service (including the Application) and the Content for any purpose, including monitoring or copying any of the material on the Service (including the Application) and the Content;
Systematically retrieve data or other content from the Service (including the Application) and the Content to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us;
Make any unauthorized use of the Service, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses;
Use any device, software, or routine that interferes with the proper working of the Service (including the Application) and the Content;
Introduce, upload, or transmit (or attempt to do such) any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service (including the Application) and the Content, the server on which the Service (including the Application) and the Content is stored, or any server, computer, or database connected to the Service (including the Application);
Attack the Service (including the Application) and the Content via a denial-of-service attack or a distributed denial-of-service attack;
Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Service, or using or launching any unauthorized script or other software;
Transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation;
Impersonate or attempt to impersonate Musaffa, Musaffa’s employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing);
Engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service (including the Application) and the Content, or which, as determined by us, may harm Musaffa or users of the Service (including the Application) and the Content, or expose them to liability;
Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords;
Make improper use of our support services or submit false reports of abuse or misconduct;
Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Service (including the Application) or use the Service as part of any effort to compete with us or otherwise use the Service and/or the Content for any revenue-generating endeavor or commercial enterprise;

(collectively, “License Restrictions”).

7.3 Reservation of Rights

You acknowledge and agree that the Service, the Application, and the Content is provided under License, and not sold, to you. You do not acquire any ownership title or interest in the Service, the Application, and the Content under this Terms of Use, or any other rights thereto other than to use the Service, the Application, and the Content in accordance with the License granted, and subject to all terms, conditions, and restrictions, under this Terms of Use. Musaffa and its licensors and service providers reserve and shall retain their entire right, title, and interest in and to the Service, the Application, and the Content, including all copyrights, Trademarks, and other intellectual property rights therein or relating thereto, except as expressly granted to you in this Terms of Use.

We reserve the right to withdraw or amend the License, and any service or material we provide through the Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts or the entirety of the Service to users, including registered users.

7.4 Apple and Android Devices

The following terms apply when you use the Application obtained from either the Apple Store or Google Play (each an “App Distributor”) to access and use the Service: (1) the License granted to you for our Application is limited to a non-transferable License to use the Application on a device that utilizes the Apple iOS or Android operating systems, as applicable, and in accordance with the usage rules set forth in the applicable App Distributor’s terms of service; (2) we are responsible for providing any maintenance and support services with respect to the Application as specified in the terms and conditions of this License contained in these Terms of Use or as otherwise required under applicable law, and you acknowledge that each App Distributor has no obligation whatsoever to furnish any maintenance and support services with respect to the mobile application; (3) in the event of any failure of the Application to conform to any applicable warranty, you may notify the applicable App Distributor, and the App Distributor, in accordance with its terms and policies, may refund the purchase price, if any, paid for the Application, and to the maximum extent permitted by applicable law, the App Distributor will have no other warranty obligation whatsoever with respect to the Application; (4) you represent and warrant that (i) you are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a “terrorist supporting” country and (ii) you are not listed on any U.S. government list of prohibited or restricted parties; (5) you must comply with applicable third-party terms of agreement when using the Application, e.g., if you have a VoIP application, then you must not be in violation of their wireless data service agreement when using the Application; and (6) you acknowledge and agree that the App Distributors are third-party beneficiaries of the terms and conditions in this License contained in these Terms of Use, and that each App Distributor will have the right (and will be deemed to have accepted the right) to enforce the terms and conditions in this License contained in these Terms of Use against you as a third-party beneficiary thereof.

8. Use of the Content

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content, except as follows:

YOU WAIVE AND HOLD HARMLESS MUSAFFA AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY MUSAFFA/ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER MUSAFFA/SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we do not undertake to review all material before it is posted on the Service, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any User or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Musaffa shall not be liable to you or any third party for the termination or suspension of the Service or the Content, or any claims related to such termination or suspension.

Musaffa and/or the Third-Party Providers may discontinue or modify the Content, or any portion thereof, at any time. You release and agree to indemnify and hold harmless Musaffa, and the Third-Party Providers, for any loss or damages arising from or relating to such discontinuation or modification.

If you believe that any User Contributions violate your copyright, please see our Copyright Policy for instructions on sending us a notice of copyright infringement. It is the policy of Musaffa to terminate the Accounts of repeat infringers.

20. Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL MUSAFFA, ITS PARENT, AFFILIATES, SUBSIDIARIES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, OR SUCCESSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR NEGLIGENCE, GROSS NEGLIGENCE, NEGLIGENT MISREPRESENTATION, FUNDAMENTAL BREACH, FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE AND THE CONTENT, AND ANY SERVICES, PRODUCTS, MEDIA OR ITEMS OBTAINED THROUGH THE SERVICE, ANY THIRD-PARTY WEBSITES, THIRD-PARTY APPLICATION, THIRD-PARTY CONTENT, LINKED TO IT OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, BREACH OF PRIVACY OR OTHERWISE, EVEN IF FORESEEABLE.

NO DAMAGES OTHER THAN COMPENSATORY DAMAGES, STRICTLY LIMITED TO THE AMOUNT OF THE SERVICE FEE OR OTHER VALUE PAID BY YOU IN RELATION TO SERVICE PROVIDED TO YOU, WHERE FAULT LIES SOLELY WITH MUSAFFA, SHALL BE INCURRED BY MUSAFFA.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

21. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Musaffa, its parents, subsidiaries, affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, representatives, licensors, distributors, suppliers, successors, and assigns from and against any and all claims, demands, actions, causes of action, suits, proceedings, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your access and/or use of the Service and the Content, and any services, products, media or items obtained through the Service; or any act, error, or omission of your use of your Account or any user of your Account, in connection therewith, including, but not limited to, matters relating to incorrect, incomplete, or misleading information; libel; invasion of privacy; infringement of a copyright, trade name, trademark, service mark, or other intellectual property; any defective product or any injury or damage to person or property caused by any products sold or otherwise distributed through or in connection with the Service; violation of these Terms of Use or your use of the Service, your User Contributions, any use of the Service and the Content, its services, and products other than as expressly authorized in these Terms of Use; or your use of any information obtained from the Service; any overt harmful act toward any other user of the Service with whom you connected via the Service; or violation of any applicable law.

Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

22. Governing Law

All matters relating to the Service and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with and enforced under the laws of the State of New York, United States of America (including its statutes of limitations and N.Y. Gen. Oblig. Law § 5-1401) without giving effect to any choice or conflict of law provision or rule (whether of the State of New York or any other jurisdiction).

23. Dispute Resolution

23.1 Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each a “Dispute” and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least sixty (60) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

23.2 BINDING ARBITRATION

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes (“AAA Consumer Rules”), both of which are available at the AAA website www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in New York City, NY, USA. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in New York City, in the State of New York (or in any appellate courts thereof), and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Terms of Use.

In no event shall any Dispute brought by either Party related in any way to the Service be commenced more than one (1) years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

23.3 Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

23.4 Exceptions to Informal Negotiations and Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

24. Notices

All notices, requests, consents, claims, demands, waivers, and other communications hereunder for the service of process purpose or for invoking any legal proceedings (each, a “Legal Claim Notice”) shall be in writing and addressed to such address that may be designated by the receiving party from time to time in accordance with this Section. All Legal Claim Notices shall be delivered by personal delivery, nationally recognized overnight courier (with all fees pre-paid), facsimile (with confirmation of transmission) or certified or registered mail (in each case, return receipt requested, postage pre-paid). Except as otherwise provided in these Terms of Use, a Legal Claim Notice is effective only (a) upon receipt by the receiving party, and (b) if the party giving the Legal Claim Notice has complied with the requirements of this Section.

Except where expressly provided otherwise, any notice required to be given by you to Musaffa in connection with these Terms of Use shall be given in writing and sent by email to info@musaffa.com.

Except where expressly provided otherwise, any notice required to be given by Musaffa to you in connection with the subject matter of these Terms of Use may be given by email or by posting a message on your Account on the Website, Platform, Community or Application.

With your permission, Musaffa may from time to time contact you to keep you up to date about Musaffa’s Service including new products, campaigns and promotions. For further information please review our Privacy Policy.

25. Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

26. Force Majeure

Musaffa is not responsible for failing to meet obligations due to causes beyond its control, including (a) any law, order, regulation or direction of any government; (b) work stoppage, labour disputes and strikes; (c) failure of the public power grid; (d) unlawful acts; (e) your act or your failure to act in accordance with these Terms of Use; (f) failure of any computer or network connectivity; or (g) acts of nature and all other force majeure events.

27. Waiver and Severability

No waiver by Musaffa of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Musaffa or any third-party beneficiary to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

28. Entire Agreement

The Terms of Use, our Privacy Policy, and any other legal documents, schedules, appendices, policies incorporated by reference herein constitute the sole and entire agreement between you and Musaffa regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.

29. Assignment

We may assign any or all of these Terms of Use, and may assign or delegate, in whole or in part, any of its rights or obligations under these Terms of Use. You may not assign these Terms of Use, in whole or in part, nor transfer or sub-license your rights under these Terms of Use, to any third party.
